The firm’s corporate counsel represents foreign clients before these agencies and advises clients with respect to the intricacies of federal and state regulatory compliance requirements involved in opening and doing business in the United States.

Entity Formation

We help clients with different types of formations including corporations, LLCs, C Corporations, S Corporations and partnerships. We explain the difference between these entitites and advise as to the best jurisdiction to register.

We guide our clients through each step of the process, from choice of entity to name selection to registering with appropriate governmental agencies.

Operational control, taxation, stage of development and potential personal liability concerns must all be evaluated in determining the most effective form of business entity. Some enterprises may initially be established as sole proprietorships and later converted to corporations or LLCs; others, such as joint ventures, may be organized as partnerships, corporations or LLCs as may be most effective under the particular circumstances. In close collaboration with the attorneys at the firm, you can be confident that all of these matters are fully addressed.
